Purpose and Acceptance
This Legal Notice regulates the access, browsing, and use of the Website. Accessing the Website confers user status and implies full acceptance of this Legal Notice as published at that time. If you do not agree with it, you should not use the Website.
NodeClub membership and cluster API usage are additionally governed by the Terms of Service, which prevail over this Legal Notice in any specific matters they regulate.
What is NodeClub
NodeClub is a private developer infrastructure club developed and operated by Vera & Company Technologies SLU. It provides shared access to dedicated GPUs running open-source AI models via an OpenAI-compatible API and a flat monthly fee.
The number of members is bounded by physical cluster capacity. Therefore, access is granted according to spot availability and, when full, on a first-come, first-served waitlist basis.
Use of Site and Service
You agree to use the Website and service lawfully, diligently, and in compliance with this legal notice. In particular, it is strictly prohibited to:
- Use the service for unlawful activities or violating third-party rights.
- Attempt unauthorized access to other members’ systems, accounts, or data.
- Share, resell, or transfer your API key or cluster access.
- Deliberately overload the infrastructure or circumvent rate limits.
- Introduce malicious code or carry out attacks against the platform.
We reserve the right to restrict or suspend access to any user who breaches these rules in order to protect the infrastructure and the rest of the members.
Intellectual and Industrial Property
All website contents (texts, designs, code, logos, and the NodeClub trademark) belong to Vera & Company Technologies SLU or third parties who have authorized their use. Total or partial reproduction, distribution, or public transmission without prior written authorization is prohibited, except for strictly private and non-commercial personal use.
The open AI models available on the cluster are open source and belong to their respective authors. Their use is subject to their individual open licenses, available in each model documentation.
AI-Generated Content
AI models generate responses probabilistically and automatically, and may produce inaccurate, incomplete, or unsuitable results. Results are provided "as is", without warranty of fitness for a particular purpose.
You are solely responsible for verifying results before relying on them, especially in scenarios with legal, medical, financial, or security implications, and for the data included in your prompts.
Availability and Liability
We work to ensure high availability of the Website and cluster, publishing public uptime metrics in real time. However, uninterrupted service cannot be guaranteed due to technical maintenance or external factors.
To the extent permitted by applicable law, Vera & Company Technologies SLU will not be liable for damages resulting from:
- Outages or technical failures beyond its reasonable control.
- The use you make of model-generated outputs.
- Content or availability of third-party external links.
Third-Party Links
The Website may contain links to external third-party platforms (such as Discord). We do not control those external platforms and are not responsible for their content or privacy policies.
Data Protection and Cookies
We process personal data in full compliance with the European General Data Protection Regulation (GDPR) and Spanish organic law (LOPDGDD). Full details can be reviewed in our Privacy Policy.
